The Zimbabwe Tourism Authority invites applications from interested candidates who wish to be considered for the position of Company Secretary. The incumbent will serve an initial 5-year term contract and subject to satisfactory performance, the contract is renewable on a five-year term basis.
Role Of The Company Secretary
The Zimbabwe Tourism Authority is a Parastatal in the Ministry of Environment, Climate, Tourism and Hospitality Industry established through an Act of Parliament; the Tourism Act of 1996 (Chapter14.20) whose mandate is to plan, develop, manage and market Zimbabwe in all source markets locally, regionally and internationally.
The position therefore provides overall Administrative Direction of the ZTA towards the achievement of the company’s vision, mission and core values which is in line with the country’s National Vision.
The incumbent will report to the Chief Executive
DUTIES
Guides the Board to ensure they are operating in accordance with rules and regulations as set out in the enabling Act and any other statute as may be directed by the empowering authority
Facilitates good communication between the Board, Board Committees, senior management and non-executive directors, and shareholders
Handles correspondence, collates information, writes reports and communicates decisions to relevant company stakeholders.
Ensures the organization’s legal compliance in terms of data protection, cyber security, health and safety .Ensures policies, regulatory, or statutory changes that might affect the organization are up to date and approved by the Board
Assesses and authenticates company documentation including but not limited to service contracts, lease agreements, other commercial agreements
Arranges, convenes and services annual general meetings (AGMs)
Takes minutes, conveys decisions and handles meeting correspondence regarding specific respective meetings
Provides support to the Board or other Committees on specific projects
Provides legal, financial and/or strategic advice during and outside of meetings
Orients and/or trains Directors and members of the senior leadership team on corporate governance matters
Keeps up to date and abreast of any regulatory or statutory changes and policies that might affect the organization
Acts as a point of contact for, and building good relationships, with shareholders
REQUIREMENTS
Candidates should have at least a Bachelor of Laws equivalent
Membership of a professional association in a related field, e.g. Institute of Chartered Secretaries and Administrators
Proven track record and experience in a similar role of at least 5 years
Good verbal and written communication skills
Meticulous attention to detail and the ability to work well under pressure
Interpersonal skills and the ability to work with people at all levels”
